Authorization
By signing this application, you request an Account be opened in the name of the Business and request individual Card accounts be opened for, and Cards be issued to, the employees appointed as Authorized Cardholders by you. Bank complies with the USA Patriot Act and applicable anti-money laundering laws. These laws mandate that we verify certain information about the Business and you while processing this Application, and about Authorized Cardholders you appoint. If an Account is approved by Bank and opened, the Authorizing Officer will be issued a business credit Card. For additional employees that the Authorizing Officer desires to appoint as Authorized Cardholders, the Business must appoint a Program Administrator to either designate the Authorized Cardholders in the Administrative Portal or designate the Authorized Cardholders in writing to Bank in the separate “Authorized Cardholder Form” made available to Business by Bank, and include the full name, Social Security number, date of birth and requested Card credit limit for each requested Authorized Cardholder. Social Security Number and date of birth are used by Bank to verify Authorized Cardholder identity.
For credit requests of $10,000 or less, the Bank may require that those credit requests be underwritten with a personal guaranty by the Authorizing Officer, with the exception of not-for-profit or government entities. If such personal guaranty is required by Bank, your Texas Regional Bank banker will provide you with the separate personal guaranty agreement that you must execute prior to your Account being activated. All for profit, non-for-profit, and government entities or accounts requesting credit lines in excess of $10,000 must include the Company’s most recent tax return, current bank statement, financial statements suitable to Bank, and a signed entity corporate resolution. Please contact your Texas Regional Bank banker to obtain a form of corporate resolution acceptable to the Bank.
The Business consents to our investigation of its credit history, and authorizes us to obtain a business credit bureau report in connection with our review of this Application upon Application submission and from time to time during such time as the Account remains in effect. The Business hereby authorizes Bank to obtain a copy of Business credit reports from a consumer reporting agency for such initial and ongoing underwriting purposes.
Bank will require the Authorizing Officer to enter into a personal guaranty as a condition of Account approval and activation, and the Authorizing Officer consents to our investigation of personal credit history, and authorizes us to obtain a personal credit bureau report in connection with our review of this Application upon Application submission and from time to time during such time as the Account remains in effect. The Authorizing Officer hereby authorizes Bank to obtain a copy of personal credit reports from a consumer reporting agency for such initial and ongoing underwriting purposes.
The Authorizing Officer represents and warrants that this Application and Agreement are and will be legal, valid and binding obligations of the Business and the Authorizing Officer (where applicable) and that the Authorizing Officer is, and has been duly authorized to, execute and deliver the Application. The Authorizing Officer further represents and warrants that all information provided in the Application is true and correct and acknowledge that Bank will rely on this information in connection with the review and approval of the Application.
NOTICE TO AUTHORIZING OFFICER: Unless the Business is approved by Bank for a Business liability Account, the Authorizing Officer’s submission of the Application means that the Authorizing Officer and the Business are jointly and severally liable for repayment of the Account and that the Authorizing Officer is personally guaranteeing the Business’s performance under the Credit Agreement. By submitting the Application, you consent to our investigation of your personal credit history and authorize us to exchange information about you as stated above. If the Authorizing Officer is a resident of New York, one or more consumer reports may be requested in connection with the Application. Upon your request we will inform you whether or not one or more consumer reports were requested, and if such report was requested, we will inform you of the name and address of each consumer reporting agency that furnished a report. If the Authorizing Officer is a resident of Ohio, Ohio laws against discrimination require that all creditors make credit equally available to all creditworthy customers, and that credit reporting agencies maintain separate credit histories on each individual upon request. The Ohio Civil Rights Commission administers compliance with this law. You understand and agree that because our products are business products, all information relating to you and/or the Account, (including, without limitation, account and application information, purchase and payment activity, and balance and status information) may be shared with the Business, and with any designated Program Administrator(s) for the Business. You should have no expectation that this information will remain private from the Business.
